These Terms & Conditions ("Terms") govern your access to and use of FVG+AI, a market-analysis signal service operated by Next Technology Inc. ("we", "us"), a corporation incorporated in Ontario, Canada. By purchasing credits, activating an API key, or installing the FVG+AI indicator, you agree to these Terms. If you do not agree, do not use the service.

1What the service is

FVG+AI detects Fair Value Gaps on NQ futures charts and returns an assessment — GO, FADE, or NO-TRADE — together with a suggested entry, stop, target, and confidence level, plus a short written rationale.

The service is advisory only. It does not connect to your broker, does not place, modify, or cancel orders, and cannot execute a trade on your behalf under any circumstances. Every order is entered by you.

Output is generated by automated analysis, including large language models. It may be wrong. It may be internally inconsistent. It may be unavailable. We make no representation that any signal is accurate, complete, timely, or suitable for you.

2Not personalised advice

We do not know your account size, risk tolerance, tax position, jurisdiction, or objectives, and we do not take them into account. Identical output is distributed to all subscribers at the same time. Nothing in the service is tailored to any individual.

We do not manage accounts, hold customer funds, or accept discretionary authority over any account.

3Eligibility

You must be at least 18 years old and legally able to enter into contracts. You are responsible for ensuring that your use of the service is lawful where you live. Some jurisdictions restrict the marketing of trading-related publications; if the service is not lawful for you, do not use it.

4Your API key

On purchase, we issue an API key tied to your email address. That key is personal to you. You may not sell, lend, publish, or share it.

To enforce this, a key binds to the first machine that uses it, identified by NinjaTrader's machine ID. Calls from any other machine are refused. If your hardware changes legitimately — new computer, reinstall, BIOS update — contact us and we will reset the binding.

You are responsible for everything done with your key. If you believe it has been exposed, tell us immediately so we can revoke it.

We may suspend or revoke a key without refund if we reasonably believe it is being shared, resold, used to redistribute signals, or used to attack or overload the service.

5Credits

• Credits are sold in one-time bundles. There is no subscription and no recurring charge.
• Credits do not expire. Free trial credits do expire — see your welcome email for the period.
• One credit is consumed per signal delivered. Requests that return no signal are not charged.
• Credits have no cash value, are not transferable between accounts, and cannot be exchanged for money.
• When your balance reaches zero the indicator will display a top-up prompt and stop returning signals until you purchase more.

Launch promotion — free NO-TRADE calls. While this promotion is running, a signal returning a NO-TRADE recommendation does not consume a credit, for trial and paid keys alike. This is a promotional offer and not a permanent feature of the service: we may withdraw or modify it at any time, and we will notify active subscribers by email before doing so. Withdrawing it does not entitle you to a refund of credits already purchased, and does not change the price of any bundle you have already bought.

Purchases are governed by our Refund Policy, which forms part of these Terms.

6Acceptable use

You agree not to:

• redistribute, resell, republish, or relay signals to anyone else, in any format, whether free or paid;
• use the output to operate a competing signal, alert, copy-trading, or managed-account service;
• reverse-engineer, decompile, or attempt to extract the prompts, models, or logic behind the service;
• access the API by any means other than the supplied indicator, or automate requests to extract data in bulk;
• circumvent credit accounting, machine binding, or any other technical limit;
• interfere with the service or the infrastructure it runs on.

7Availability

We aim to keep the service running during market hours, but we do not guarantee uptime. The service depends on third parties — market data feeds, NinjaTrader, cloud infrastructure, AI model providers, payment processors — and any of them can fail.

Signals may be delayed, degraded, or absent. Do not build a trading approach that assumes a signal will arrive. Current status is published at status.fvgplusai.com.

We may modify, suspend, or discontinue any part of the service. If we discontinue it permanently, we will refund unused paid credits on a pro-rata basis — this is the one case where credits are refundable.

8Intellectual property

The indicator, the API, the site, and all signal output remain our property or that of our licensors. Your purchase grants a limited, revocable, non-exclusive, non-transferable licence to use them for your own trading. Nothing more is granted.

9Disclaimer of warranties

The service is provided "as is" and "as available", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any result will be achieved.

Past performance does not indicate future results. Hypothetical and simulated results have inherent limitations and do not reflect the impact of real capital at risk.

10Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading loss, lost profit, lost opportunity, or any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the service — including any missed, delayed, or inaccurate signal.

Our total aggregate liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud. Some jurisdictions do not permit certain exclusions, in which case they apply to you only to the extent permitted.

11Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the service, or your violation of any law or third-party right.

12Termination

You may stop using the service at any time. We may suspend or terminate your access if you breach these Terms. On termination for breach, unused credits are forfeited. Sections 8 through 11 survive termination.

13Changes

We may update these Terms. The "last updated" date above will change, and material changes will be announced by email or in the indicator. Continuing to use the service after a change means you accept the revised Terms.

14Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction, except where mandatory consumer-protection law in your place of residence gives you a right to bring proceedings elsewhere.

If any provision is held unenforceable, the rest remains in force.
